Terms of Service
Welcome
Welcome to Stelli.
Stelli is a platform for creating and participating in live shared Moments. These Terms of Service (“Terms”) describe the rules for using Stelli and the relationship between you and Stellation LLC, which operates Stelli.
By creating an account or using Stelli, you agree to these Terms. If you do not agree, please do not use the service.
Definitions
To make these Terms easier to read, we use a few product-specific terms throughout.
Stellation LLC (“Stellation,” “we,” “us,” or “our”) operates Stelli.
Stelli refers to the Stelli application, website, and related services.
Moment means a live experience created by a Host that may include invited Guests, audio, photos, and other shared content.
Host means the person who creates and manages a Moment.
Guest means someone invited to or participating in a Moment.
Content includes audio recordings, photographs, profile images, text, event information, and any other material shared through Stelli.
Eligibility
You must be at least 13 years old to use Stelli. By using the service, you represent that you meet the minimum age requirement, have the legal authority to accept these Terms, and provide accurate information.
Your Account
You are responsible for maintaining the security of your account. Please keep your login credentials confidential. You are responsible for activity that occurs through your account unless it results from unauthorized access that was not caused by your actions. Notify us promptly if you believe your account has been compromised.
Using Stelli
Stelli is designed for live shared experiences. Features may include creating Moments, joining Moments, inviting Guests, recording audio, sharing photos, receiving notifications, and following Hosts. Some features may change, be added, or be removed as Stelli evolves.
Our Role
Stelli provides the platform that enables Hosts and Guests to create and participate in shared Moments. While we provide the tools that make those experiences possible, we do not create, organize, supervise, or endorse every Moment or every piece of Content shared through the service. Hosts are responsible for the Moments they create, and users remain responsible for the Content they contribute and the activities they organize or participate in.
Your Content
You retain ownership of the Content you create. When you upload or share Content through Stelli, you grant Stelli a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, and display it solely for the purpose of operating, improving, securing, and supporting Stelli.
If you import audio into your Clip Library, you represent that you own it or have all rights, permissions, and licenses necessary to store, use, and share it through Stelli.
This license ends when your Content is deleted from Stelli, except where limited retention is necessary for backups, legal obligations, dispute resolution, or security.
Hosting Moments
Hosts control the Moments they create. Depending on the features available in Stelli, Hosts may invite Guests, manage participation, remove Guest-contributed photos or other eligible content from their Moments, block Guests from participating in their Moments, and end a Moment.
Host moderation tools are intended to help maintain a safe and respectful experience. Hosts are responsible for using these tools fairly and in accordance with these Terms and our Community Guidelines. Hosts are also responsible for complying with applicable laws, including obtaining any consent required for recording or sharing content.
Participating in Moments
Guests remain responsible for the Content they contribute. Guests should only upload or record material they have the right to share. Guests may remove their own contributions where supported by the product. Hosts may remove certain Guest-contributed content or restrict participation within their own Moments as described in these Terms and our Community Guidelines.
Some Content may remain available if removal would compromise the integrity of a shared Moment or where retention is otherwise required.
Respect the Moment
Stelli is built around shared experiences. When using Stelli, you agree to treat other people respectfully, respect the privacy of participants, obtain permission where required before recording others, contribute only Content you have the right to share, and comply with applicable laws.
Prohibited Conduct
You may not use Stelli to violate any law; infringe another person’s intellectual property or privacy rights; harass, threaten, or abuse others; impersonate another person or organization; upload malware or malicious code; interfere with Stelli’s operation; attempt unauthorized access to accounts or systems; spam or send deceptive invitations; or upload Content you know you do not have permission to use.
We may remove Content or restrict accounts that violate these Terms or our Community Guidelines.
Community Guidelines
Your use of Stelli is also subject to our Community Guidelines. Those Guidelines explain the behavior we expect from Hosts and Guests and help keep Moments welcoming, respectful, and enjoyable.
Beta Features
Stelli is an evolving service. Some features may be experimental, unavailable in certain regions, or change without notice. We appreciate your patience as we continue improving the experience.
Privacy
Our collection and use of personal information is described in our Privacy Policy. By using Stelli, you acknowledge that your information will be handled according to that policy.
Suspension and Termination
We may suspend or terminate accounts that violate these Terms, create risk for other users, threaten the security or integrity of Stelli, or are required by law to be restricted. You may stop using Stelli at any time.
Intellectual Property
Stelli, including its software, branding, logos, and design, is owned by Stellation LLC or its licensors. These Terms do not transfer ownership of Stelli or its technology to you.
Availability
We work hard to make Stelli reliable. However, we cannot guarantee uninterrupted availability. Features may occasionally be unavailable because of maintenance, technical issues, or circumstances beyond our control.
Disclaimer of Warranties
Stelli is provided “as is” and “as available.” To the fullest extent permitted by law, Stellation LLC disclaims warranties of any kind, whether express or implied.
Limitation of Liability
To the fullest extent permitted by law, Stellation LLC will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from your use of the service. Our total liability will not exceed the greater of the amount you paid Stellation LLC during the previous twelve months or USD $100. Some jurisdictions do not allow certain limitations of liability. In those cases, applicable law will control.
Changes to These Terms
We may update these Terms as Stelli evolves. When material changes are made, we will update the Last Updated date and may provide additional notice within the app.
Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Any provisions that cannot legally be enforced will not affect the remainder of these Terms.
